Codashop Global Series (CGS) App Terms and Conditions

Welcome to the Codashop Global Series (“CGS”) App, operated by Coda Payments Pte. Ltd. (“Coda Singapore”) and/or its affiliates and subsidiaries (collectively referred to as “Coda”, “we”, “us”, or “our”). These Terms and Conditions (the “CGS Terms”) govern your usage of the CGS App. THIS IS A BINDING CONTRACT. PLEASE READ THE CGS TERMS CAREFULLY.

1. Scope and Acceptance

1.1. The CGS App is offered by Coda Singapore in the following countries (“Active Countries”) as a free download from the Google Play Store. Coda does not charge for the download or use of the CGS App. If you are located in any of the Active Countries and are using the CGS App, these CGS Terms apply to you.

1.2. When you create an account and use the CGS App at any time thereafter, you agree, understand, and accept that you are bound by these CGS Terms, as well as the following, to the extent relevant to your usage of the CGS App:

(a) The Terms and Conditions for all other Coda services (the “Coda Terms”), located here, and under which the CGS App will be understood to be among the “Services” as defined therein.

(b) The Privacy Policy for the CGS App (the “CGS Privacy Policy”), located here.

1.3. If you do not agree to these CGS Terms, the Coda Terms, the Privacy Policy, or the CGS Privacy Policy, DO NOT ACCESS OR USE THE CGS APP.

1.4. Amendments and modifications. We reserve the right to make changes to these CGS Terms, at any time. Such changes will be effective immediately upon publication on this page. The date of the last revision is also set out at the top of these CGS Terms. It is your responsibility to regularly check for the latest version of the CGS Terms, and your continued use of the CGS App after any changes to the CGS Terms shall be deemed as continued acceptance of the revised CGS Terms.

1.5. Updates. Coda may provide new features, upgrades, updates, patches, and other modifications to the CGS App (collectively, the “variations”). We may update, patch, or modify the CGS App remotely. You hereby grant to Coda the right to deploy and apply such variations, and these CGS Terms shall also apply to all such variations.

2. Privacy and Personal Information

We value your privacy and personal information. To better understand how we collect, use, disclose, and retain the personal information that you provide through the CGS App, please refer to the CGS Privacy Policy.

3. User Declarations

3.1. Age

The CGS App is not directed to persons under the age of majority in the Active Country where you are located (a “minor”). Subject to specific age restrictions imposed in your location, and unless otherwise set forth in these CGS Terms, permission and consent from a parent or legal guardian to use the CGS App is required for minors. By proceeding with the use of the CGS App, such parent or legal guardian will be deemed to have agreed to these CGS Terms on the minor's behalf and will be responsible for their use of the CGS App.

3.2. Use for lawful purposes

You will use the CGS App for lawful purposes only and in accordance with these CGS Terms and all applicable laws, rules, codes, directives, guidelines, policies and regulations.

3.3. Use of device

You warrant that you are using the CGS App on a machine or device over which you have ownership, or that your use has been authorised by the owner of such machine or device.

4. CGS Account

4.1. CGS Account and account security.

To create an account on the CGS App (your “CGS Account”), you will need to provide an email address or mobile phone number and password. You are solely responsible for maintaining the confidentiality and security of your CGS Account, your account details, and the device/s you use to access the CGS App and your CGS Account.

4.2. Verification of CGS Account

If you sign up for a CGS Account, you confirm that you have provided us with complete and accurate information about yourself for verification purposes. In the event of any unauthorised access to your Coda Account, you shall notify Coda immediately.

4.3. Suspension of CGS Account

If you violate your user obligations as set out in these CGS Terms or misuse your CGS Account in any way, Coda reserves the right to suspend or disable your CGS Account.

5. Tournaments and Rewards

5.1. Tournament mechanics.

The CGS App allows users to host tournaments and join tournaments hosted by fellow users. Each tournament may have a different set of mechanics and parameters, including but not limited to qualifications for entry, determination of winners, eligibility for rewards or prizes, and distribution thereof.

(a) If you are hosting a tournament (a “Host”), the mechanics and parameters of the tournament you organise should be clear, easy to understand, and fair for all participants.

(b) As a user, it is your responsibility to read and understand the mechanics for each tournament. By joining a tournament, you signify your agreement to its particular mechanics and parameters. You accept and understand that you participate in each tournament at your own risk.

5.2. Rewards or prizes

Hosts may advertise or promise rewards or prizes for participating in their tournaments.

(a) If you are a Host, you shall not falsely advertise or promise any rewards or prizes or disseminate the details of such rewards or prizes without any genuine intent to fulfil and deliver them. 

(b) Coda shall not be responsible for delivering any rewards or prizes promised by Hosts and cannot guarantee that Hosts will distribute the rewards or prizes advertised or promised, in the same manner through which they have been advertised or promised. Though Coda may from time to time provide support to Hosts by partnering with them, sponsoring rewards or prizes, or assisting in the administration and awarding thereof, Hosts shall remain responsible for the selection of winners, the mechanics for the distribution of rewards and prizes, the determination of recipients’ eligibility therefor, and other relevant parameters. 

(c) Coda shall not be liable to you for any rewards or prizes that a Host has promised or advertised but is unable or unwilling to deliver.

5.3. Promotional permits

Tournaments may be held on the CGS App that amount to regulated promotional events requiring specific permits, licences, or authorisations under the laws of the Active Countries. 

(a) In the event that you are a Host of a tournament that is a regulated promotional event, you shall be responsible for securing the relevant permit, licence, or authorisation for such event and disclosing or displaying the details thereof to participating users as may be required by law.

(b) Coda does not warrant that a user-hosted tournament appearing in the CGS App has all of the required permits, licences, or authorisations. Neither does Coda warrant the veracity or validity of any permit, licence, or authorisation details that a Host may provide or display.

(c) Coda reserves the right to suspend, terminate, or remove any tournament that does not comply with the applicable permits, licences, or authorisations for regulated promotional events.

6. User Obligations

You shall not engage in any of the acts below, nor use the CGS App to engage in, any of the acts below. Coda may, at its sole discretion and at any time, suspend or terminate your access to the CGS App without prior notice to you if Coda suspects that you are carrying out any of the acts below, or that you are engaging in fraudulent, illegal, unauthorised, or improper conduct, or if you breach any part of these CGS Terms.

6.1. Fraud and unlawful conduct. You shall not:

(a) Use the CGS App in any way that violates any applicable law, ordinance, or regulation, or for any unlawful purpose, including but not limited to carrying out games of chance or gambling activities, or offering cash or other items of value as prizes where such prizes are otherwise prohibited by law, or conducting a regulated promotional event without the requisite permit, licence, or authorisation;

(b) Use the CGS App to violate, intentionally or unintentionally, any applicable local, state, national or international law, rule, code, directive, guideline, policy or regulation;

(c) Use the CGS App to impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity;

(d) Disguise your origin, place of residence or any identifiers, intentionally or otherwise, to get around any geographical restrictions or avoid terms that apply to a specific country, to use services not available or applicable in your country of residence, or for any other unlawful purpose;

(e) Remove any proprietary notices from the CGS App;

(f) Charge others to use the CGS App;

(g) Use the CGS App for any commercial purpose or the benefit of any third-party or any manner not permitted by the licences granted herein; or

(h) Use the CGS App for any fraudulent purposes.

6.2. Abuse, harassment, and interference with user experience. You shall not:

(a) Interfere with any other users’ use of the CGS App;

(b) Interfere with, manipulate, or disrupt the CGS App or servers or networks connected to the CGS App or any other users’ use and enjoyment of the CGS App, or disobey any requirements, procedures, policies or regulations of networks connected to the CGS App; +

(c) Coerce, mislead, or attempt to coerce or mislead, other users into participating in tournaments, including but not limited to falsely promising or advertising rewards or prizes;

(d) Upload, post, email, transmit, or otherwise make available to any other user or person any material that contains software viruses, worms, Trojan horses or any other computer code, routines, files, or programs designed to directly or indirectly interfere with, manipulate, interrupt, destroy or limit the functionality or integrity of any computer software or hardware or data or telecommunications equipment;

(e) Upload, post, email, transmit, or otherwise make available any unsolicited or unauthorised advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other unauthorised form of solicitation; or

(f) Upload, post, email, transmit, or otherwise make available any content through the CGS App that is unlawful, harmful, threatening, abusive, harassing, alarming, distressing, tortuous, defamatory, vulgar, obscene, libellous, invasive of another's privacy, hateful, or discriminatory, or otherwise objectionable.

6.3. Damage to Coda’s business, platforms, or the CGS App. You shall not:

(a) Attempt to harm, disrupt, or otherwise engage in activity that diminishes the business and reputation of Coda and the capacity of the Coda Sites to serve other users, or hamper or interrupt the provision by Coda of the CGS App in any way;

(b) Attempt to decompile, reverse engineer, disassemble or hack the CGS App (or any portion thereof), or to defeat or overcome any encryption technology or security measures established by or for the benefit of Coda with respect to the CGS App and/or any data transmitted, processed or stored by Coda;

(c) Attempt to gain access to any account, computers, or networks related to the CGS App without proper authorisation; or

(d) Take any action or engage in any conduct that could directly or indirectly damage, disable, overburden, interfere with, or impair the CGS App or the servers or networks connected to the CGS App.

6.4. You also understand that the enumeration of acts above is not exhaustive, and that similar or analogous acts, or acts that are unlawful, fraudulent, abusive, or damaging in a similar manner, shall also be prohibited.

7. User Content

7.1. User Content

You are responsible for all content that you transmit, publish, share, send, or post, whether publicly or privately (the “User Content”), on the CGS App. Coda does not assume any responsibility or liability for the User Content, and it has no obligation to constantly monitor, moderate, or review the User Content. However, Coda may remove User Content that violates these CGS Terms upon valid request by any third party or at its own discretion. 

7.2. No misrepresentation

You shall not misrepresent your identity, impersonate any person or entity, or mislead other users as to the origin of the User Content that you transmit, publish, share, send, or post.

7.3. User Content restrictions

You shall not transmit, publish, share, send, or post User Content that:

(a) Harasses, bullies, or threatens other users, persons, or groups;

(b) Is false, inaccurate, or meant to mislead other users;

(c) Discriminates or promotes hate and/or violence against other users, persons, or groups, including on the basis of ethnicity, race, gender, sex, religion, disability, or any other identity trait or vulnerability;

(d) Is defamatory or libellous;

(e) Is offensive, obscene, graphic, or sexually explicit;

(f) Violates the prohibitions on user conduct as set out in the section on User Obligations;

(g) Infringes upon intellectual property rights in any way or violates the Coda Terms’ provisions on Use and Ownership of Intellectual Property;

(h) Invades the privacy of other users or persons in any way or violates the Coda Terms’ provisions on Personal Data and Confidential Information;

(i) Violates any other provision of these CGS Terms or is in any way illegal or unlawful.

7.4. Rights over User Content

You represent and warrant that (i) you own or have the rights to transmit, publish, share, send, or post the User Content; and (ii) the User Content does not violate these CGS Terms and any relevant laws or regulations applicable in your jurisdiction.

7.5. Removal of User Content

You accept and agree that Coda may remove your User Content if it violates this Section 5 or any part of these CGS Terms, without prejudice to Coda’s discretion to suspend or close your CGS Account.

8. Intellectual Property

8.1. You accept and understand that the CGS App comprises registered and unregistered intellectual property rights owned by Coda and/or game publishers. You are prohibited from using any content displayed within the App except as provided in these CGS Terms. You agree to not modify, publish, create derivative works from, transfer, sell, or in any way exploit the CGS App, aside solely from downloading a copy of the CGS App to your device for personal, non-commercial use, provided you keep intact all copyright and other proprietary notices.

8.2. Trademarks, logos, and other marks displayed within the CGS App may be the property of game publishers. Coda neither warrants nor represents that your use of the CGS App will not infringe the rights of third parties. Nothing within the CGS App should be construed as granting to you, by implication, estoppel, or otherwise, any licence or right to use any of the trademarks displayed therein without the written permission of Coda or the third party that owns the trademark displayed within the CGS App. 

8.3. Reference within the CGS App to any other products, software, services, processes, or other information by trade name, trademark, manufacturer, supplier, or otherwise does not constitute and should not imply any affiliation with Coda, nor our endorsement, sponsorship, or recommendation of such other products, software, services, or processes.

9. Liability, Warranty, and Disclaimer

9.1. Limitation of liability

To the maximum extent permitted by applicable law, Coda and its respective employees, directors, agents, and representatives will not be liable for any indirect, incidental, punitive, or consequential damages arising out of or in connection with your use of the CGS App.

9.2. No warranty

The CGS App is provided on an "as is" basis. We do not guarantee that it will be uninterrupted, error-free, secure, or free from viruses or other harmful computer software. To the fullest extent permitted by applicable law, Coda makes no representations or warranties of any kind, express or implied, regarding the CGS App, including without limitation, any implied warranties of merchantability, fitness for a particular purpose, and non-infringement of third-party rights.

9.3. Disclaimer

The CGS App may from time to time be delayed, interrupted or disrupted for an indeterminate period of time. In the event of any of the above mentioned circumstances, Coda shall not be liable for any claims arising from or in connection with any such delays, interruptions, disruptions, limitations, suspensions, termination of access, or the like.

10. General Provisions

10.1. Links to third-party sites

Links to third-party sites provided within the CGS App may lead you to outside the app. Please note that the linked sites may not be under the ownership or control of Coda, and you therefore access them at your own risk. Coda is not responsible for the contents, terms of use, or privacy practices of any such linked third-party sites, or any link contained within a linked site, including any changes or updates to such sites. The inclusion of any third-party link does not in any way imply or express affiliation, endorsement, or sponsorship by Coda of any linked site and/or any of its content therein.

10.2. Notices

We may make any notices that we may be required by law to make in electronic format. You consent to receive communications from us in electronic form and agree that all terms and conditions, notices, rules, disclosures, policies, and other communications from Coda provided electronically to you shall be deemed to satisfy any legal requirement relating to communications in writing and shall be deemed to be given on the date of the electronic communication.

10.3. No waiver

Coda’s failure or delay in enforcing any right or provision under these CGS Terms shall not be construed as a waiver or limitation of its right to subsequently enforce these CGS Terms and compel strict compliance therewith.

10.4. Termination

Coda may, at its sole discretion, terminate your access to the CGS App if you breach any of the Terms. In the event of termination, Section 8.1 (Limitation of liability) shall survive.

10.5. Security

Coda takes all reasonable steps to preserve the security of the information that you provide to it. Unfortunately, no data transmission over the Internet can be guaranteed as totally secure. Whilst Coda strives to protect all data transmissions over the Internet (including your information) and has adopted substantial measures to mitigate security risks, Coda does not warrant and cannot ensure the absolute security of any information which you transmit to Coda. As such, any information which you transmit to Coda is transmitted at your own risk.

10.6. Relationship

Nothing in these CGS Terms is intended to or creates any type of joint venture, employee-employer, creditor-debtor, escrow, partnership, or any fiduciary relationship between you and Coda.

10.7. Assignment

You may not assign any of your rights or obligations under these CGS Terms, or any part of it, to any other party without our prior written approval. Any attempt by you to do so without our prior written approval shall be deemed null and void. We are, however, entitled to assign these CGS Terms and/or any of our obligations, in whole or in part, at any time, to any Coda affiliate or subsidiary or any third party, with or without notice to you.

10.8. Localised terms

These CGS Terms were prepared in English. To the extent that any translated localised version of these CGS Terms conflict with the English version, the terms of the English version prevail.

10.9. Entire agreement

These CGS Terms constitute the entire agreement between you and Coda, and supersede and cancel all prior and contemporaneous agreements, claims, representations, and understandings relating to the subject matter of these CGS Terms. No modification or amendment of these CGS Terms will be binding on Coda unless agreed to by Coda, set forth in writing, and published in the same manner as previously binding versions.

10.10. Separability

If any of the provisions of these CGS Terms is held by a court of competent jurisdiction to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

10.11. Governing law

These CGS Terms shall be governed by and construed according to the laws of Singapore without regard to its conflicts-of-law provisions. We shall endeavour to amicably resolve any disputes that arise out of or in connection with these CGS Terms (including any question regarding their existence, validity or termination), but in the event that such efforts shall fail, such dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the SIAC (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference into this section on Governing Law. The seat of arbitration shall be Singapore, and the Tribunal shall consist of one (1) arbitrator. All arbitration proceedings shall be in the English language. The decision of the arbitrator shall be final and binding.
